Privacy Policy and Refund Policy effective 2026-09-04. Written in plain language on purpose — if anything here seems to promise more than the product does, the product wins and we fix the words.

Terms of Service

Terms version 2026-09-13. Effective 2026-09-13 for new agreements accepted on or after that date. This disclosure does not amend previously accepted agreements or separate service engagement agreements. Prior terms: effective 2026-09-04.

1. The service

PackClose provides software for organizing regulatory evidence: uploads, extraction with provenance, review and approval workflows, sealed record versions, exports, and related tooling. PackClose is a product of Lapilo Labs, LLC, a Florida limited liability company. By creating a workspace, starting a trial, accepting an engagement agreement, or using the service, you agree to these terms.

2. What the service is not

The service is software, not professional advice. It does not provide legal, chemical, or regulatory conclusions; it does not determine whether rules apply to you; it does not file, submit, or certify anything with any government body or program on your behalf. Exports are documents you use - generating one is never a submission. You and your designated qualified people remain responsible for every regulatory decision, filing, and attestation. Nothing in the service creates an attorney-client or consultant relationship.

3. Your account and workspace

You are responsible for the accuracy of what you upload, for maintaining the confidentiality of your credentials, and for the people you invite. You must have the right to upload the materials you place in your workspace. You may not use the service to violate law, infringe rights, or store malicious content (uploads are scanned and rejections are final).

4. Trials, subscriptions, limits, and cancellation

You may create a workspace and explore synthetic sample data without a card. Adding a payment method through our hosted checkout starts a 14-day trial for your own data at $0. Unless you cancel before the trial ends, the PackClose Workspace subscription begins automatically at $249 per month. Subscriptions are month-to-month, billed in advance. Cancel anytime in the customer billing portal; cancellation takes effect at the end of the paid period. We never receive or store card numbers.

PackClose's Stripe merchant account is registered to Cody Rasmussen as an individual. Billing support: [email protected]. This disclosure identifies the payment account only; it does not change the service provider or the parties to a separately signed engagement agreement.

The launch plan covers one legal/reporting entity; California, Colorado, and Oregon; five seats; the current reporting year plus two prior reporting years; 1,000 active packaging configurations; 5,000 component and source-value records; 250 stored source documents; 100 MB of stored files; 20 MB per file; and 25 active supplier-request links. Standard imports, calculations, version history, and exports are included within those limits. There are no automatic overage charges. At a limit, new writes, uploads, or supplier links may pause, but existing records remain readable and standard exports remain available. Additional capacity requires a separate written quote.

The optional $2,500 CAA Evidence Readiness Scan and $8,500–$12,000 starting-range Full Data Close are separate services. They are sold under an accepted engagement agreement and paid by invoice; the subscription does not include their data cleanup, QA, readout, or other human work. The Scan is paid in full upfront, due upon receipt, and its delivery period starts after cleared payment and complete inputs. Its engagement agreement controls service cancellation and refund terms.

5. Your data

You own your data. You can export the complete contents of your workspace at any time, on any plan status, at no charge. We use your data only to operate the service for you; we do not sell it and we do not use your confidential content to train AI models. When optional AI-assisted extraction is enabled by the operator it is disclosed in the console, it only ever produces suggestions a person must approve, and its provider terms prohibit training on your content. 6. Integrity of records

Completed record versions are hash-sealed and write-blocked ("tamper-evident"). We deliberately do not describe any record as "immutable" until storage-level retention lock is in place; the Trust Center describes the current controls honestly and any artifact can be verified at /verify.

7. Disclaimers

The service is provided "as is" and "as available". We do not warrant that it is error-free or uninterrupted, and we expressly disclaim any warranty that use of the service ensures compliance with any law, acceptance by any regulator, or any regulatory outcome. Your sole remedy for dissatisfaction is to cancel and export your data.

8. Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim, and neither party is liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data (beyond our obligation to make your workspace export available). Nothing here limits liability that cannot be limited by law.

9. Termination

You may stop using the service and cancel at any time. We may suspend or terminate accounts that violate these terms, with notice where practicable. After termination your export remains available for at least 30 days, after which data is deleted per the retention schedule (subject to legal holds).

10. Changes and contact

We may update these terms; material changes will be notified in the console or by email at least 14 days before they take effect, and continued use after that constitutes acceptance. These terms are governed by the laws of the State of Florida, excluding conflict-of-law rules. Questions: [email protected].

Privacy Policy

1. What we collect

Account information (name, email, company), workspace content you upload (documents, extracted values, decisions), billing state from our payment provider (plan, status, references - never card numbers, which we never receive), and operational logs (an append-only audit trail of actions in your workspace, plus standard server logs).

2. How we use it

To operate the service: authentication, evidence processing, review workflows, exports, support, and billing. We do not sell personal information and we do not use your confidential content to train AI models. Optional AI-assisted extraction, when enabled, sends document text to the disclosed model provider under no-training API terms solely to produce suggestions.

3. Subprocessors

Hosting infrastructure (the application host), our payment provider (Stripe) for hosted checkout, subscriptions, and private service invoices, an email delivery provider for account and billing mail when configured, and the disclosed AI provider when AI assist is enabled. Each receives only what its function requires.

4. Security

Named accounts with MFA available (required for staff), salted modern password hashing, encryption at rest for stored objects, fail-closed active-content screening before storage, tenant isolation enforced at the row level with automated cross-tenant tests, and an append-only audit trail. The Trust Center page describes the current control state honestly, including what is planned rather than shipped.

5. Retention and deletion

Workspace data is retained while your account is active and per any retention schedules you configure (regulatory records often carry multi-year duties - those are your schedules, visible in the product). You can export everything at any time. On termination, data is deleted after the availability window in the Terms, except where a legal hold or configured retention schedule requires longer.

6. Your choices

Access and export: built into the product (Export my data). Correction: your workspace is yours to correct (sealed versions are corrected by linked versions, never silent edits). Deletion: close your account and request deletion at [email protected]. We respond to verified requests within 30 days.

Refund Policy

1. The short version

Adding a payment method starts a 14-day own-data trial at $0. Cancel in the billing portal before the trial ends and there is no subscription charge. If you do not cancel, the month-to-month subscription begins at $249 when the trial ends.

2. Subscriptions and optional services

Subscription cancellation takes effect at the end of the paid month. We do not prorate a partial month or refund a month already billed except where we materially failed to provide the service, where applicable law requires it, or for a duplicate or erroneous charge. The accepted engagement agreement separately controls payment, cancellation, and refund terms for a Readiness Scan or Full Data Close. We apply its written remedy if we materially fail to deliver the accepted service scope.

3. Your data either way

Refund or no refund, canceled or expired: your workspace stays readable and your full export works. We never hold records hostage over money.

4. How to ask

Email [email protected] from your account address with the workspace name. Refund decisions come from a person, within 5 business days.
